    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND EXCEPT AS OTHERWISE EXPRESSLY PROVIDED HEREIN, ALL PRODUCTS ARE PROVIDED BY HRP “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.  THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE PRODUCTS REMAINS WITH USER.

     

    LIMITATIONS OF LIABILITY

     

    NOTWITHSTANDING ANYTHING ELSE IN THIS AGREEMENT OR OTHERWISE, HRP SHALL NOT BE LIABLE TO USER UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY (i) FOR ANY AMOUNTS IN EXCESS OF THE AMOUNT PAID BY USER FOR THE PRODUCTS, OR (ii) FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (EVEN IF HRP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES).  THE FOREGOING LIMITATIONS ON LIABILITY SHALL BE DEEMED TO APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDIES PROVIDED HEREIN.

     

     

    INDEMNIFICATION

     

    If (i) User breaches this Agreement, or (ii) any claim is made against HRP or its affiliates as a result of Your use of the the Website, the Products or any Content on this Website, then User shall (a) indemnify, defend and hold harmless HRP and its affiliates against any losses, claims, damages and liabilities ("Claims"), at User's cost and expense, and (b) pay all costs, damages and expenses (including reasonable legal fees) awarded against HRP and its affiliates by a court of competent jurisdiction or binding arbitrator or agreed to in a written settlement agreement signed by HRP arising out of such Claims.

     

    In the event of a Claim for which indemnification hereunder is available, HRP shall give prompt written notice of any such claim to User; provided, however, that the failure of HRP to give timely notice hereunder will not affect its rights to indemnification hereunder, except to the extent User can demonstrate actual, material prejudice as a result of such failure.  HRP may participate in the defense of a Claim, with counsel of its own choosing at User's sole expense.

Any waiver by HRP of any of the covenants, conditions or agreements to be performed by You will not be construed to be a waiver of any succeeding breach thereof or of any covenant, condition or agreement herein contained.

    SEVERABILITY

    If any portion of this Agreement is adjudged invalid or unenforceable by a court of competent jurisdiction, the remaining portions will remain valid, enforceable, and in effect.

    RELATIONSHIP

    Nothing in this Agreement shall be construed to create a partnership, joint venture, franchise or agency relationship between You and HRP.

    CONTINUED USE DEEMED ACCEPTANCE

    HRP reserves the right, at its sole discretion, to change, alter, amend or otherwise modify this Agreement from time to time. After any such modification becomes effective, HRP will deem Your continued use of the Website or any of the Content, or your purchase of Products to constitute Your acceptance of and agreement to such modification.

    ENTIRE AGREEMENT
